Terms of Service

1. Who we are

Lateping (the “Service”) is provided by JTF Labs Pty Ltd, ABN 93 693 353 347, of Victoria, Australia (“we”, “us”). These terms are an agreement between us and you, the person or organization using the Service. By creating an account or using the Service, you agree to them.

2. The Service

Lateping monitors scheduled jobs. You create checks, your jobs send requests (“pings”) to a URL for each check, and we send alerts when a ping is late or reports a failure. The features of each plan are described on the pricing page.

Monitoring depends on networks and systems outside our control, including yours, your hosting provider’s, email providers’ and ours. We work to deliver every alert, but we do not guarantee that every alert will be sent or received, or that the Service will be available without interruption. Do not use the Service as the only safeguard for anything where a missed alert could cause injury or loss of life.

3. Your account

  • You must give a working email address. We sign you in by sending links to it.
  • You are responsible for activity under your account and for keeping access to your email secure.
  • Check URLs act as credentials for sending pings. Keep them out of public places if you do not want others to be able to ping your checks.

4. Acceptable use

You must not:

  • send pings or requests at rates designed to overload the Service, or try to get around rate limits or plan limits;
  • use the Service to store or transmit content unrelated to monitoring, or anything unlawful;
  • probe, scan or test the vulnerability of the Service without our written permission;
  • use the Service to send alerts to people who have not agreed to receive them;
  • resell the Service without our written permission.

5. Plans, payment and tax

Paid plans are sold through Stripe Managed Payments. Stripe is the merchant of record: when you buy a paid plan, you buy it from Stripe, under Stripe’s terms for that purchase. Stripe processes the payment, calculates and collects tax, handles fraud checks and disputes, and issues invoices and receipts. We provide the Service.

  • Prices are in US dollars and exclude tax. Stripe calculates any applicable tax (such as sales tax, VAT or GST) for your location and adds it at checkout.
  • Paid plans renew automatically each month or year until canceled. You can cancel at any time from the billing portal; the plan stays active until the end of the paid period.
  • If a payment fails, Stripe retries it and your plan keeps working for 14 days. After that your account moves to the Free plan’s limits. Checks over the limit are paused, not deleted.
  • The founding offer price stays the same for as long as that subscription stays active. If it is canceled or lapses, the offer ends.
  • We may change prices for future billing periods. We will email you at least 30 days before a change affects your subscription.

6. Refunds

See the refund policy. In short: a full refund within 14 days of a payment, no questions asked.

7. Your data

You own the data you put into the Service: check names, schedules and the pings your jobs send. You give us permission to store and process it only to run the Service. How we handle personal information is described in the privacy policy.

8. Changes to the Service and these terms

We may change the Service. If we make a change that materially reduces what a paid plan includes, we will tell you by email first. We may update these terms; if a change is material, we will email you at least 30 days before it takes effect. Continuing to use the Service after that means you accept the new terms.

9. Suspension and termination

  • You can stop using the Service and close your account at any time.
  • We may suspend or close an account that breaches these terms, puts the Service or other users at risk, or is required to be closed by law. Where we reasonably can, we will warn you first.
  • If we decide to shut the Service down, we will give paying customers at least 60 days’ notice by email and refund any unused time on annual plans.

10. Warranties and liability

Nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Australian Consumer Law or any other law that cannot lawfully be excluded or limited.

Subject to that, the Service is provided “as is”, and to the extent permitted by law:

  • we exclude all other warranties, express or implied;
  • we are not liable for indirect or consequential loss, or for loss of profit, revenue or data;
  • our total liability to you in connection with the Service is limited to the amount you paid for the Service in the 12 months before the claim arose;
  • where our liability for failing to comply with a consumer guarantee can be limited, it is limited to supplying the services again or paying the cost of having them supplied again.

11. Governing law

These terms are governed by the laws of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Victoria and the courts that can hear appeals from them.
